Tamkeen Human Resources approves 2025 financials, elects new board

Riyadh – Mubasher: Tamkeen Human Resources Company has announced the successful conclusion of its Extraordinary General Assembly meeting that was held on 17 June 2026, according to a bourse filing.

During the session, shareholders approved the company’s financial results for the 2025 fiscal year and authorized the Board of Directors to distribute interim dividends for 2026.

The assembly reviewed and approved the board of directors’ report and the auditor’s report for the 2025 fiscal year.

Shareholders voted to discharge the board members from liability for the 2025 period and approved a total remuneration of SAR 1.95 million for the board for that year.

In a move to provide flexible returns to investors, the assembly authorized the board to distribute interim dividends on either a quarterly or semi-annual basis throughout the 2026 fiscal year.

The assembly also approved the appointment of Al Bassam and Partners as the company’s auditor. The firm will be responsible for reviewing and auditing the financial statements for the second and third quarters of 2026, the annual financial statements for 2026, and the first quarter (Q1) of 2027. The total fees for these services were set at SAR 777,000.

Furthermore, shareholders ratified a series of business contracts and agreements involving related parties, all of which the company stated were conducted without preferential terms. Notable among these was a specialized labor supply agreement between the subsidiary Elaf Specialized Contracting and Dr. Sulaiman Al Habib Medical Services Group, valued at SAR 53.46 million.

Other significant contracts included nursing service agreements with Araf Medical totaling over SAR 12.60 million and a labor supply contract with Alpha Operation Services Co. Ltd. valued at SAR 8.44 million.

Additional contracts were approved with Masah Contracting, Four Twins Co. Ltd., Burger Map Restaurants, and Al Safi Danone, covering various labor supply and support services.

In addition to operational and financial approvals, the assembly passed several amendments to the company’s Articles of Association. These changes included updates to Article 2 regarding the company’s name, Article 5 concerning its duration, and Article 16 regarding management structures. Amendments were also made to Article 25 and Article 29, which govern board remuneration and the quorum requirements for Ordinary General Assembly meetings, respectively.

The approval of these resolutions provides Tamkeen Human Resources with a refreshed governance framework and a clear mandate for its newly elected board to manage the company’s strategic direction and shareholder distributions over the next four years. The ratification of existing service contracts ensures operational continuity across its various subsidiaries and partnerships within the Saudi market.
