Riyadh – Mubasher: Dallah Healthcare Company has completed the sale of its entire 31.21% stake in Dr. Mohammed bin Rashid Al Faqih and Partners.
The stake was acquired by Dr. Soliman Abdel Kader Fakeeh Hospital Company (Fakeeh Care Group) following the fulfillment of all regulatory requirements and conditions.
The transaction, which was finalized on 20 July 2026, involved a total consideration of SAR 497.98 million. Dallah Health confirmed it has received a cash payment of SAR 466.77 million.
In accordance with the initial agreement signed on 6 May 2026, a sum of SAR 100 million has been placed into an escrow account to cover any potential breaches or liabilities discovered within the target company post-completion.
Dallah Health’s share of this escrowed amount is proportional to its 31.21% holding.
The escrowed funds will be held for a duration of six months to address any claims, or longer if disputes arise. This finalization follows the unconditional approval from the General Authority for Competition for the economic concentration resulting from the deal, which was previously disclosed on 14 June 2026.
Ownership of the shares has been officially transferred to the buyer.
