CMA proposes enhanced disclosure framework for annual board reports

Riyadh – Mubasher: The Capital Market Authority (CMA) has initiated a public consultation period regarding a new draft aimed at significantly enhancing disclosure requirements within the management discussion and analysis sections of annual board reports.

This regulatory move is designed to heighten transparency and strengthen corporate governance across the Saudi capital market, providing shareholders and potential investors with a more comprehensive framework to evaluate the financial health and operational trajectories of listed entities.

The proposed draft seeks to consolidate and organize existing regulatory provisions into a newly designated, independent section of the annual Board of Directors’ Report.

This section, titled Discussion and Analysis of Financial and Operational Performance and Financial Position, is intended to serve as a centralized hub for critical financial data.

By standardizing this format, the authority aims to improve the quality of information available to the public, thereby facilitating more informed investment decisions and allowing for easier comparisons between different listed companies.

Under the proposed guidelines, the CMA has specified a minimum set of content requirements that must be included in this independent section.

Companies will be required to provide a granular analysis of their results of operations, overall financial position, and liquidity status.

This includes a detailed review of financial information relevant to audited financial statements, accompanied by clear explanations regarding the drivers of material changes.

Furthermore, the draft mandates that companies provide a forward-looking review of material trends and uncertainties that are expected to influence future business operations and financial results.

Regarding the implementation timeline, the draft proposes that compliance become mandatory for all companies listed on the Main Market starting from the first board report issued following the official approval of these provisions.

For companies listed on the Parallel Market (Nomu), the requirements will initially be implemented on an indicative basis. However, they will transition to a mandatory status starting from the first annual board report issued in the year following the approval of the regulatory provisions.
