Altharwah Albashariyyah shareholders nod for dividend mandate, auditor appointment

Riyadh – Mubasher: Altharwah Albashariyyah Company announced that its shareholders approved a mandate authorizing the board of directors to distribute interim dividends on a semi-annual or quarterly basis for the fiscal year ending on 31 December 2026.

The decision was reached during an ordinary general assembly meeting held on 25 June 2026, which recorded a shareholder attendance rate of 89.17%, according to a bourse filing.

Shareholders also approved the appointment of Maham Professional Consulting as the company’s external auditor.

The consulting firm will be responsible for reviewing and auditing the semi-annual financial statements ended on 20 June 2026, and the annual financial statements for the period ending on 31 December 2026, for a total fee of SAR 400,000.

The assembly ratified several related-party transactions conducted during 2025, including insurance contracts with the Company for Cooperative Insurance (Tawuniya) totaling SAR 1.72 million.

Additionally, the meeting approved the discharge of board members from liability for the fiscal year ended 31 December 2025, and granted permission for two board members to participate in businesses competing with the company's activities.
