Riyadh — Mubasher: Allied Cooperative Insurance Group (ACIG) has signed an addendum on 26 August 2026 to its existing subscription agreement with Diar Al Arabia Investment Company, according to a bourse filing.
The amendment modifies the terms of ACIG’s proposed capital increase, which involves issuing shares while suspending preemptive rights.
Under the new terms, the definition of the "Final Date" has been adjusted to five business days following the approval of the capital increase by the Extraordinary General Assembly (EGM), or any other date agreed upon in writing by both parties.
This date serves as the deadline for fulfilling all conditions precedent to the transaction.
The insurer originally recommended the capital increase on 27 July 2025 and subsequently signed the initial subscription agreement with the investor on 29 January 2026.
Both ACIG and Diar Al Arabia Investment confirmed their mutual commitment to proceed with the transaction and maintain the validity of the agreement’s remaining provisions.
Meanwhile, the listed company is moving forward with the necessary regulatory and shareholder approvals to finalize the capital restructuring.
