Invitation to Attend The Annual General Meeting

INVITATION TO ATTEND THE ANNUAL GENERAL MEETING

 The Board of Directors of Packaging Co Ltd SAOG is pleased to invite the shareholders to attend the Annual General Meeting that will be held on Tuesday 17^th March 2015 at 5.00 PM at the, Oman Chamber of Commerce & Industry, Meeting Hall, Ruwi, CBD Area, Sultanate of Oman to discuss following agenda:

1. To consider and approve Chairman’s Report for the financial year ended 31^st December 2014.
2. To consider and approve the Corporate Governance Report for the financial year ended 31^st December 2014.
3. To consider and approve the Auditor’s report, Balance Sheet and Profit & Loss account for the financial year ended 31^st December 2014.
4. Inform shareholders of the related party transaction during the financial ended 31^st December 2014.
5. Approve the contracts and transaction to be entered into by the company with related parties in the financial year ending 31^st December-2015 as shown in the statement attached.
6. To elect a new member in place of a member who has resigned from the Board. Any person wishes to nominate himself / herself to the Board of Directors, must fill the nomination form and to be delivered to the Company prior to 2 working days of the Annual General Meeting.  Nomination form received on or after 12^th March 2015 will not be qualified. If the candidate is a shareholder, then he / she should have at least 1000 shares on the date of the AGM.
7. To appoint the auditors for the financial year ending 31^st December 2015 and to approve their remuneration.

 Notes:

Pursuant to the Company’s article of association, a shareholder may depute any other person in writing to attend and vote on his behalf. The proxy need not be a shareholder and such proxy may be revoked by the shareholder any time.
